Payroll services – umbrella company in Luxembourg: what is the current legislation?

Portage salarial in Luxembourg is a system that allows an independent worker to carry out their activity while benefiting from the status of an employee, i.e., having an employment contract with a portage company (often called a “portage firm”), which handles the administrative, social, and tax aspects of the business. It’s a hybrid option that combines the autonomy of freelancing with the security of an employee status.

Current Legislation on Portage Salarial in Luxembourg

Portage salarial in Luxembourg is not as specifically regulated as it is in countries like France, where there is dedicated legislation. However, here are some key points to consider:

Currently, there is no specific legislation in Luxembourg regulating portage salarial. This means that there are no formal rules directly governing this type of work. However, general principles of labor law, commercial law, and company law apply.

2. Role of the Portage Company

  • The portage company plays a key role as the intermediary between the worker (the “porté”) and the customers.
  • The portage company signs an employment contract with the worker. This contract can be either a permanent (CDI) or fixed-term (CDD) contract, depending on the circumstances.
  • The portage company invoices the customers and then transfers part of the fees (after deducting administrative costs) to the worker as a salary.

3. Social and Tax Status

  • The worker in a portage relationship enjoys the social rights of an employee (retirement, social security, health insurance, etc.) but is also subject to social and tax obligations in Luxembourg.
  • Social security contributions are paid on the salary of the worker, and the worker must fulfill their tax obligations like any other employee in Luxembourg.

4. Taxation

  • The income of the worker is subject to personal income tax (IRPP) in Luxembourg, according to the progressive tax scale. The worker must declare their income like any other employee.
  • The portage company handles the tax declaration and pays the social security contributions to the relevant authorities.

5. Administrative Formalities

  • The worker can carry out their activity independently, but the portage company takes care of the administrative tasks, including customers invoicing, payment collection, and salary payment after deducting social contributions and management fees.
  • A service contract must be signed between the worker and the customers company. This contract defines the terms of the mission (duration, compensation, objectives, etc.).

6. Advantages and Disadvantages

Advantages:

  • The worker enjoys the social benefits of a regular employee while retaining the freedom of a self-employed individual.
  • No administrative management to handle, as the portage company takes care of it.
  • More financial and legal security for the worker.

Disadvantages:

  • Management fees charged by the portage company can be relatively high (usually between 5% and 15% of the revenue).
  • Less autonomy compared to full self-employment.
